By continuing to access or use the Services after any such amendments or modifications, you agree to be bound by such amended or modified Terms of Service. For this reason, we encourage you to review the Terms of Service whenever you use the Services. If you do not agree to any change to these Terms of Services, then you must immediately stop using the Services.

Eligibility & Registration

The Services are not targeted towards, nor intended for use by, anyone under the age of 13. By using the Services, you represent and warrant that you are 13 years of age or older. If you are under the age of 13, you may not, under any circumstances or for any reason, use the Services. We may, in our sole discretion, refuse to offer the Services to any person or entity and change its eligibility criteria at any time. You are solely responsible for ensuring that these Terms of Service are in compliance with all laws, rules and regulations applicable to you and the right to access the Services is revoked where these Terms of Service or use of the Services is prohibited or to the extent offering, sale or provision of the Services conflicts with any applicable law, rule or regulation. Further, the Services are offered only for your use, and not for the use or benefit of any third party.

To sign up for the Services, you must register for an account on the Services (an "Account"). You must provide accurate and complete information and keep your Account information updated. You shall not: (i) select or use as a username a name of another person with the intent to impersonate that person; (ii) use as a username a name subject to any rights of a person other than you without appropriate authorization; or (iii) use, as a username, a name that is otherwise offensive, vulgar or obscene. You are solely responsible for the activity that occurs on your Account, regardless of whether the activities are undertaken by you, your employees or a third party (including your contractors or agents), and for keeping your Account password secure. You may never use another person's user account or registration information for the Services without permission. You must notify us immediately of any change in your eligibility to use the Services (including any changes to or revocation of any licenses from state, provincial, territorial or other authorities), breach of security or unauthorized use of your Account. You shall have the ability to delete your Account, either directly or through a request made to one of our employees or affiliates. You agree to provide accurate information in your registration and not to share your password with third parties. You agree not to impersonate another person or to select or use a user name or password of another person. You agree to notify ShopLot promptly of any unauthorized use of your account and of any loss, theft or disclosure of your password. Failure to comply with these requirements shall constitute a breach of these Terms of Service and shall constitute grounds for immediate termination of your account and your right to use the Website. ShopLot WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE AS A RESULT OF YOUR FAILURE TO PROVIDE US WITH ACCURATE INFORMATION OR TO KEEP YOUR ACCOUNT SECURE.

Payments & Billing

ACCEPTABLE PAYMENT METHODS

ShopLot accepts Stripe payments. Subscribers who choose to pay with Stripe will be strictly limited to a single ShopLot Account per Stripe account. Virtual credit cards and gift cards typically will not be accepted. Other forms of payment may be arranged by contacting ShopLot at support@woosignal.com. Please note that any payment terms presented to you in the process of using or signing up for paid Services are deemed part of this Agreement.

We use third-party payment processors (the "Payment Processors") to bill you through a payment account linked to your Account on the Services (your "Billing Account") for use of the paid Services. The processing of payments may be subject to the terms, conditions and privacy policies of the Payment Processors in addition to this Agreement. We are not responsible for error by the Payment Processors. By choosing to use paid Services, you agree to pay us, through the Payment Processors, all charges at the prices then in effect for any use of such paid Services in accordance with the applicable payment terms and you authorize us, through the Payment Processors, to charge your chosen payment provider (your "Payment Method"). You agree to make payment using that selected Payment Method. We reserve the right to correct any errors or mistakes that it makes even if it has already requested or received payment

BILLING AND TERMS

The term of this Agreement shall be annually, to commence on the date that the Subscriber signs up electronically for the Services by creating an Account with an email address. All invoices are denominated, and Subscriber must pay, in pound sterling. Subscribers are entirely responsible for the payment of all taxes. annually fees and renewal fees will be billed at the rate agreed to at purchase. You may cancel the Services at any time by logging into your Dashboard and cancelling in "change plans" in settings - billing https://woosignal.com/dashboard/plans. At cancellation, your Account will be inactivated and you will no longer be able to log into our site and/or have any access to the Services. Except in the case of subscription commitments you have agreed to, which shall be nonrefundable, as permitted by law, if you cancel, you agree that fees for the first month of Services and any start-up costs associated with setting up your Account ("Start-up Costs") shall be nonrefundable, as permitted by law. With the exception of any subscription commitments agreed by you, if you paid fees in advance for any period longer than one month, then you may, with the exception of fees for the first month of Services and any Start-up Costs, obtain a refund on a pro rata basis for the period remaining after you cancel. All plans renew automatically via our payment provider Stripe until cancelled from within the ShopLot plans dashboard. If you cancel your existing plan within 7 days of purchasing it, WooSignal will offer a full refund you are not happy with our products/services, you must contact us via our support email and write to us requesting a refund to be eligible for this.

Some of the paid Services may consist of an initial period, for which there is a one-time charge, followed by recurring period charges as agreed to by you. By choosing a recurring payment plan, you acknowledge that such Services have an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. WE MAY SUBMIT PERIODIC CHARGES (E.G., MONTHLY) WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU PROVIDE PRIOR NOTICE (RECEIPT OF WHICH IS CONFIRMED BY US) THAT YOU HAVE TERMINATED THIS AUTHORIZATION OR WISH TO CHANGE YOUR PAYMENT METHOD. SUCH NOTICE WILL NOT AFFECT CHARGES SUBMITTED BEFORE WE REASONABLY COULD ACT. TO TERMINATE YOUR AUTHORIZATION OR CHANGE YOUR PAYMENT METHOD, GO TO https://woosignal.com/dashboard/plans.

YOU MUST PROVIDE CURRENT, COMPLETE AND ACCURATE INFORMATION FOR YOUR BILLING ACCOUNT. YOU MUST PROMPTLY UPDATE ALL INFORMATION TO KEEP YOUR BILLING ACCOUNT CURRENT, COMPLETE AND ACCURATE (SUCH AS A CHANGE IN BILLING ADDRESS, CREDIT CARD NUMBER, OR CREDIT CARD EXPIRATION DATE), AND YOU MUST PROMPTLY NOTIFY US OR OUR PAYMENT PROCESSORS IF YOUR PAYMENT METHOD IS CANCELED (E.G., FOR LOSS OR THEFT) OR IF YOU BECOME AWARE OF A POTENTIAL BREACH OF SECURITY, SUCH AS THE UNAUTHORIZED DISCLOSURE OR USE OF YOUR USER NAME OR PASSWORD. CHANGES TO SUCH INFORMATION CAN BE MADE AT https://woosignal.com/dashboard/account. IF YOU FAIL TO PROVIDE ANY OF THE FOREGOING INFORMATION, YOU AGREE THAT WE MAY CONTINUE CHARGING YOU FOR ANY USE OF PAID SERVICES UNDER YOUR BILLING ACCOUNT UNLESS YOU HAVE TERMINATED YOUR PAID SERVICES AS SET FORTH ABOVE.

SCHEDULED CACHING WITH TURBO CACHE

All of our testing results with our caching has been conducted by our team using our initial version of Label Store vs our LabelPRO app. These results may vary under different connections speeds and device. Expired caches will be scheduled for the next cache cycle. Via our dashboard, you'll be able to set how many days you wish the cache to live for. Always clear your cache if there are any major changes to your WooCommerce products or store information to ensure the latest changes reflect on the app.

CONNECTING A STRIPE ACCOUNT

If you intend to use the Stripe feature in any app and connect your store to ShopLot, for payments received through our platform, we will charge a application platform fee. This fee is 1.4% + 0.15p of the overall sale, please note this is in GBP and is for all transactions for our service.

ARREARS

Payments not made within ten (10) days of invoicing will be deemed in arrears. For accounts in arrears, if any amount is more than ten (10) days overdue, without the requirement of providing notice of such arrears, ShopLot may suspend service to such account and bring legal action to collect the full amount due, including any attorneys' fees and costs.

SUSPENSION FOR NONPAYMENT

If a Subscriber is past due on their balance, ShopLot may send up to three (3) email notifications within a fifteen (15) day period before suspending the Subscriber's account. App keys will be temporarily be revoked during the suspension period. ShopLot reserves the right to delete the Subscriber's suspended App key after the final termination notice.

SHOPLOT MERCHANT REQUIREMENTS

To keep customers safe and to ensure a great experience, ShopLot requires that all merchants meet the following requirements:

  1. Sell genuine products and services
  2. Offer customers a minimum 14 day return policy for products/services purchases through their stores.
  3. Business has been established for longer than 1 month
  4. Website has a page load time lower than 2 seconds
  5. Not selling drugs or erotic content
  6. Website is not in its development phase i.e. does not contain dummy products, broken links and the checkout works.
